Terms of Service

These Terms of Service govern your access to and use of CoreStay, a hotel management platform provided by Core-Link Technologies Ltd ("Core-Link", "we", "us", or "our").

By creating an account, accessing the platform, or using any CoreStay service, you agree to these Terms. If you are accepting these Terms on behalf of a hotel, company, or other organization, you confirm that you are authorized to bind that organization.

If you do not agree to these Terms, do not create an account or use the service.

CoreStay is designed to help hospitality businesses manage day-to-day operations through a connected platform. Depending on your subscription and enabled features, the platform may include hotel reservations, front desk operations, guest records, restaurant and bar point of sale (POS), inventory management, expense tracking, reporting, and related operational tools.

Features may change, and some services may depend on third-party providers, compatible devices, an internet connection, or additional configuration.

You must have the legal capacity and authority required to enter into these Terms. You must provide accurate, current, and complete information when registering an account.

You are responsible for keeping your account information up to date. You must not impersonate another person, misrepresent your authority, or register using information you are not authorized to use.

We may request additional information where reasonably necessary to verify an account or protect the platform.

You are responsible for maintaining the confidentiality of your login credentials and for activities performed through your account, except where applicable law provides otherwise.

Hotel owners and administrators are responsible for assigning appropriate permissions to staff, maintaining the security of user accounts, and removing access when a staff member no longer requires it.

Notify us promptly if you suspect unauthorized access, compromised credentials, or misuse of your account. Do not share administrator credentials or permit unauthorized access.

Access to certain CoreStay features may require a paid subscription or additional fees. Applicable prices, billing periods, included features, payment methods, and any applicable taxes will be communicated before you commit to a paid plan.

You authorize the applicable payment provider to process payments you have approved. Payment processing may be subject to the provider's separate terms and policies.

Any renewal, cancellation, refund, overdue-payment, or suspension conditions applicable to your plan will be set out in the relevant subscription or order terms. Nothing in these Terms removes rights that cannot lawfully be excluded.

You remain responsible for your hotel's business decisions and for reviewing the accuracy of records entered into or generated by CoreStay. This includes reservations, room rates, guest details, check-in and check-out records, POS transactions, inventory quantities, expenses, and reports.

You are responsible for setting appropriate prices, taxes, service charges, refund rules, stock procedures, and staff permissions for your business.

Reports and dashboards are operational tools. Unless expressly agreed otherwise, they are not a substitute for professional accounting, tax, legal, or financial advice.

You agree to use CoreStay only for lawful business purposes and in accordance with these Terms and applicable law.

• Do not use the platform to commit fraud, facilitate unlawful activity, or violate another person's rights.
• Do not attempt to gain unauthorized access to accounts, systems, data, or infrastructure.
• Do not introduce malicious software, interfere with service operation, or deliberately disrupt other users.
• Do not copy, resell, reverse engineer, or exploit the platform except where applicable law permits or we have given written authorization.
• Do not upload information that you are not legally entitled to collect, use, or disclose.
• Do not use CoreStay to send unlawful, deceptive, or unsolicited communications.

You retain your rights to the business information and content you submit to CoreStay, subject to the rights necessary for us to provide the service.

You authorize us to host, process, transmit, and use that information as reasonably necessary to operate, secure, maintain, and support CoreStay and to meet our legal obligations.

You are responsible for ensuring that you have an appropriate legal basis to collect and process guest, employee, supplier, and other personal information entered into the platform. You must provide any notices and obtain any consents required by applicable law.

Our Privacy Policy should explain in more detail how personal information is handled, including applicable rights, retention practices, and contact procedures. Where a separate data processing agreement is required, it should be agreed with us.

CoreStay may integrate with external services, including payment providers, messaging platforms, access-control systems, or other software. Those services may be subject to their own terms, fees, availability, and privacy policies.

We are not responsible for the independent operation or policies of third-party services to the extent permitted by applicable law. You are responsible for reviewing relevant third-party terms before enabling an integration.

We aim to maintain a reliable service, but we do not guarantee uninterrupted or error-free availability unless a separate written service-level agreement expressly provides otherwise.

Access may occasionally be affected by maintenance, connectivity problems, security incidents, third-party outages, or circumstances beyond our reasonable control.

We may update or modify features to improve security, functionality, or performance. Where a change materially affects a paid service, we will provide notice where required by law or an applicable agreement.

You remain responsible for maintaining appropriate business continuity procedures and any independent records needed for your operations.

CoreStay, including its software, interface, branding, design, and related materials, is owned by or licensed to Core-Link Technologies Ltd and is protected by applicable intellectual property laws.

Subject to these Terms and any applicable subscription agreement, we grant you a limited, non-exclusive, non-transferable right to access and use the service for your authorized business purposes.

These Terms do not transfer ownership of the CoreStay platform to you. You may not use our trademarks or branding in a way that suggests an endorsement or partnership without our written permission.

You may stop using CoreStay and request closure of your account through the applicable account process or by contacting us.

We may restrict or suspend access where reasonably necessary to address a security risk, suspected fraud, unlawful activity, a material breach of these Terms, or an overdue payment where suspension is permitted under the applicable agreement.

Where reasonably practicable and legally permitted, we will provide notice and an opportunity to resolve the issue before taking action. We may act immediately where necessary to protect users, data, or the service.

After termination, access to your data may be limited. Any data export, retention, or deletion process will be subject to the applicable agreement, our Privacy Policy, and legal requirements.

To the extent permitted by applicable law, CoreStay is provided subject to the service commitments expressly stated in the agreement applicable to your account. We do not promise that the platform will meet every business requirement or that every report will be free from error.

You should maintain suitable backups, verify important transactions, and review business-critical reports before relying on them.

To the extent permitted by law, neither party will be liable for indirect or consequential losses arising from use of the service. Any other limitation or exclusion of liability must be interpreted subject to applicable law and any written agreement governing your subscription.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law, including any applicable non-waivable consumer or statutory rights.

You are responsible for your use of CoreStay, the accuracy of information you submit, your staff's authorized activities, and your compliance with applicable laws.

Where permitted by law, you may be responsible for losses or claims resulting from your unlawful use of the platform, your infringement of third-party rights, or your material breach of these Terms. Any allocation of responsibility remains subject to applicable law and any separate written agreement.

We may revise these Terms to reflect changes to CoreStay, our business practices, or legal requirements. We will publish updated Terms with a revised effective date and provide additional notice where required.

Where a change materially affects your rights or obligations, we will take reasonable steps to notify you before the change takes effect when required by law. Continued use after the effective date is subject to the revised Terms to the extent permitted by law.

These Terms are intended to be governed by the laws applicable in the Federal Republic of Nigeria, subject to any mandatory legal requirements that apply to your relationship with us.

The parties should seek to resolve disputes through good-faith discussions before pursuing formal remedies. Any applicable court or dispute-resolution procedure will be determined by the governing law and any valid agreement between the parties.
